Terms of Service

1. Acceptance

By accessing or using WeAD SoundChains ("Platform", "we", "us") at soundchains.org, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. Description of Service

WeAD SoundChains provides AI-powered music creation (AI Composer), chord progression and virtual keyboard tools (Chord Studio / Hybrid Composer), community sharing, reels, and a marketplace for buying and selling music (including as NFTs). Use of AI generation may be subject to credits or fees as described on the Platform.

3. Account and Eligibility

You may need to register (e.g. email or wallet) to use certain features. You must be at least 13 years old to use the Platform; users under 18 should have parental consent. You are responsible for keeping your account credentials secure and for all activity under your account.

4. Acceptable Use

You agree not to use the Platform to: (a) upload or generate content that infringes others' intellectual property or rights; (b) create or share illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or discriminatory content; (c) impersonate others or misrepresent your affiliation; (d) circumvent security, rate limits, or access controls; (e) use the service or outputs to build competing products or train other AI models without our written permission. We may remove content and suspend or terminate accounts that violate these terms.

5. Intellectual Property and Content

Your content: You retain ownership of lyrics and other original content you submit. You grant us a worldwide, royalty-free license to use, store, reproduce, modify, adapt, and display your content as needed to operate, secure, and improve the Platform (e.g. hosting, sharing, marketplace, reels, recommendations, and the AI training described in Section 6).

AI Composer outputs: Subject to our AI Composer Policy, outputs generated by the AI Composer are governed by that policy (including permitted use and attribution).

Chord / user-created music: For music you create using Chord Studio or Live Looper (melody and structure by you, with AI assistance), see our Chord Progression Policy.

6. AI Training and Model Improvement

Grant of training rights. By uploading, generating, or sharing content on the Platform — including audio recordings, generated music, lyrics, style descriptions, prompts, chord progressions, and other content ("Submitted Content") — you grant WeAD SoundChains a non-exclusive, worldwide, royalty-free, sublicensable license to use Submitted Content to research, train, evaluate, fine-tune, and improve internal machine-learning and AI models (including music generation, lyric generation, style transfer, and recommendation models). This includes both content created on the Platform with our tools and content uploaded by you.

How we use it. Submitted Content used for training stays inside our infrastructure (DigitalOcean, controlled GPU compute providers, and approved processors). We do not sell raw user audio or lyrics to third parties as a dataset. Trained models and their outputs may be used to power Platform features, including features available to other users.

Outputs and similarity. Models trained on user content may produce outputs that resemble, in style or structure, content from many users. Outputs of trained models are governed by the AI Composer Policy and these Terms; you do not retain rights in outputs generated for other users.

Opt-out. You can request that your Submitted Content be excluded from future training runs by messaging us on our official WeAD Telegram channel (t.me/WeAdvertizers) or by email at contact@wead.live from an account that identifies you, or via the relevant control in your account settings when available. Please include the wallet address or email associated with your account so we can match the request. Opt-out applies to future training runs; we cannot retroactively remove your content from models that have already been trained, but those models will continue to be subject to these Terms.

Third parties. We will not use Submitted Content to train models owned by unaffiliated third parties without your separate consent. This Section does not authorize anyone other than WeAD SoundChains and its service providers to train AI models on your content.

7. Payments and Credits

Credits, subscriptions, or one-time payments may be required for certain features. Fees are as displayed on the Platform. Refunds are handled according to our payment provider terms and any specific refund policy we publish. We may change pricing with reasonable notice where required by law.

8. Marketplace and NFTs

Listing, buying, and selling music (including as NFTs) are subject to these Terms and any additional marketplace rules. You are responsible for the accuracy of listings and for complying with applicable law. We do not guarantee the enforceability or value of any NFT or on-chain transaction.

8.1 What "full commercial rights" means for marketplace purchases

When you buy a track on the SoundChains marketplace, the seller grants you a worldwide, non-exclusive, perpetual licence to use that track as follows:

• Commercial use. You may use the track in commercial and non-commercial projects, including monetized videos (for example on YouTube, TikTok or Instagram), live streams, podcasts, advertisements, apps and games, and you may keep the revenue those projects earn.
• Credit and royalties stay with the seller. The seller (and, where different, the original creator) keeps authorship credit for the track. Buying a track does not transfer its copyright or the creator's royalty. When the NFT is resold on SoundChains, the creator royalty applies as the Platform enforces it (currently 5% on eligible resales).
• No resale of the raw file. You may not sell, license, distribute or upload the audio file itself, on its own or with only minor changes, as a standalone music product (for example to stock-music or sample libraries, streaming distributors or other marketplaces). You may resell the NFT on SoundChains, and the next buyer receives these same rights.
• Seller warranty. By listing a track, the seller confirms that they own or control all rights needed to sell it and to grant this licence, including rights in any lyrics, vocals, samples or uploaded material, and that the track does not infringe anyone else's rights.
• AI-generated tracks. Tracks made with AI tools (including the AI Composer) are also subject to the terms of the upstream AI provider and to our AI Composer Policy. If those terms limit how a track may be used, those limits apply to you as well.

9. Disclaimers

The Platform and all content are provided "as is". We do not warrant that the service will be uninterrupted, error-free, or that outputs will not infringe third-party rights. AI outputs may not be unique and may resemble outputs for other users. Use at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, WeAD SoundChains and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the twelve (12) months before the claim.

11. Changes

We may update these Terms at any time. We will post the revised Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance. Material changes may be communicated via the Platform or email where appropriate.
